Terms & Conditions

These Terms & Conditions ("Terms") govern your access to and use of the IraOra platform (the "Platform") operated by IraOra Solutions Private Limited. By creating a shop, creating an account, or otherwise using the Platform, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Platform.

1. Eligibility & accounts

You must be at least 18 years old and capable of entering into a binding contract under Indian law, and you must register accurate, current information. You are responsible for all activity that occurs under your account.

2. Your responsibilities & acceptable use

You agree to use the Platform only for lawful business purposes; to keep your customer and business records accurate; to obtain any consents required from your own customers before entering their personal data; and to comply with all applicable laws, including those governing gold-savings schemes, KYC, and consumer protection.

3. Account security & password obligations

You are responsible for safeguarding your credentials. You must choose a strong password, keep it confidential, not share accounts, and notify us immediately of any unauthorised access. We may require a password change on first login or when we reasonably believe an account is at risk.

4. Subscription, billing & payments

Access to certain features may require a paid subscription. Fees, billing cycles, and taxes (including GST) will be as set out in your order or plan. Where applicable, fees are payable in advance and are non-refundable except as required by law. Payment-link and collection features are provided through our payment processor and are subject to that processor's terms.

5. Prohibited uses

You must not: access the Platform without authorisation or attempt to breach its security; access another tenant's data; reverse engineer, scrape, or overload the Platform; upload malware; use the Platform for fraud, money laundering, or any illegal activity; or use it to send unlawful or unsolicited communications.

6. Intellectual property

The Platform, including its software, design, and trademarks, is owned by IraOra Solutions Private Limited and its licensors and is protected by law. We grant you a limited, non-exclusive, non-transferable right to use the Platform during your subscription. You retain ownership of the business and customer data you enter ("Your Data"); you grant us a licence to process Your Data solely to provide the Platform.

7. Service availability & limitation of liability

The Platform is provided on an "as is" and "as available" basis. We do not warrant uninterrupted or error-free operation. To the maximum extent permitted by law, our aggregate liability arising out of or relating to the Platform is limited to the fees you paid in the twelve (12) months preceding the claim, and we are not liable for indirect, incidental, or consequential damages.

8. Suspension & termination

We may suspend or terminate your access if you breach these Terms, fail to pay fees, or use the Platform unlawfully, or as required by law. You may stop using the Platform at any time. On termination, your right to use the Platform ends; we will make Your Data available for export for a reasonable period as described in our Privacy Policy, after which it may be deleted.

9. Indemnity

You agree to indemnify and hold IraOra Solutions Private Limited harmless from claims arising out of your misuse of the Platform, your breach of these Terms, or your violation of any law or the rights of any third party (including your customers).

10. Governing law & dispute resolution

These Terms are governed by the laws of India. Subject to the arbitration provision below, the courts at Gurugram, Haryana, India shall have exclusive jurisdiction. Any dispute shall first be attempted to be resolved amicably; failing which it shall be referred to arbitration by a sole arbitrator under the Arbitration and Conciliation Act, 1996, seated at Gurugram, India, in the English language.

11. Changes to these Terms

We may revise these Terms from time to time. Each version is numbered and retained. When we make a material change, you will be asked to review and accept the latest version before continuing to use the Platform.
